Acceptance of Terms
By accessing or using convobix ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and convobix, Inc. ("convobix", "we", "us", or "our").
Account Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Use of the Service
Subject to these Terms, convobix grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not sublicense, resell, or otherwise transfer your rights to use the Service without our prior written consent.
Prohibited Activities
You agree not to: (a) use the Service in any unlawful manner; (b) transmit harmful, offensive, or disruptive content; (c) attempt to gain unauthorized access to any part of the Service; (d) interfere with the proper working of the Service; (e) use the Service to send spam or unsolicited communications; or (f) reverse-engineer or decompile any component of the Service.
Intellectual Property
The Service and its original content, features, and functionality are owned by convobix and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any content you submit to the Service, but grant convobix a license to use such content as necessary to provide the Service.
Termination
We may terminate or suspend your account at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Limitation of Liability
To the maximum extent permitted by law, convobix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the greater of $100 USD or the amount you paid us in the twelve months preceding the claim.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
